1. Agreement to Terms
These Terms of Service (the "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and RallyReel ("Company", "we", "us", or "our"), concerning your access to and use of the https://rallyreel.ai/ website and any related services (collectively, the "Site").
By accessing the Site, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with some or all of these terms, you are expressly prohibited from using the site and must discontinue use immediately.
2. Intellectual Property & License Tiers
A. Ownership of Platform: Unless otherwise indicated, the Site, underlying AI models, source code, and algorithms are the proprietary property of RallyReel.
B. Ownership of Generated Content: Subject to your compliance with these Terms and the successful redemption of the required credits (purchased via applicable fees), RallyReel assigns to you all of its right, title, and interest in and to the Generated Content. This assignment is limited by the specific usage rights granted in your selected License Tier below.
C. Personal License ("Weekend Racer")
Grant: Limited, non-exclusive, non-transferable license. Usage: Strictly for personal entertainment and personal social media. You may not use content for business promotion, monetization, or client work.
D. Commercial License ("Pro Driver")
Grant: Perpetual, worldwide, non-exclusive commercial license. Usage: Permitted for use in advertising, marketing materials, and monetized channels owned by you. You may not resell the raw video file as a standalone stock asset.
E. Full Resell/Agency License ("Top Closer")
Grant: Commercial license with sub-licensing rights. Usage: You may sell, transfer, or license the Generated Content to third-party clients (e.g., selling a video ad to a dealership).
F. Important Disclaimers
Trademark Responsibility: RallyReel provides the tools to generate visual content, but we do not hold licensing agreements with automotive manufacturers. If you generate content depicting trademarked vehicles, logos, or trade dress, you are solely responsible for ensuring you have the rights necessary to use any trademarks depicted. RallyReel disclaims all liability for trademark infringement resulting from your specific prompts or commercial use.
No Copyright Warranty: While RallyReel assigns its rights to you, we make no warranty that the Generated Content is eligible for copyright protection under your local laws. Current judicial standards generally treat AI-generated content without significant human modification as public domain.
Platform Usage License: You grant RallyReel a limited, non-exclusive license to host, process, and display your inputs and outputs solely for the purpose of providing the Service to you.
3. Fees, Payments & Refunds
We accept payments through Stripe. You agree to provide current, complete, and accurate purchase and account information.
Nature of Service & Delivery
The Service utilizes significant GPU compute resources. The Service is deemed fully delivered at the moment the generation process successfully completes and the Generated Content is made available for viewing or download on our infrastructure.
Refund Policy
Because the Service relies on non-recoverable hardware costs incurred immediately upon use, all sales are final. No refunds are offered for credit packs once purchased.
Automatic Reinstatement: Credits are automatically refunded or reinstated to your account in the event that a generation job fails to complete due to system errors.
Discretionary Exception: Refunds or credit reinstatements may be issued at our sole discretion solely in cases of documented technical platform failures where the generation process was not completed.
4. Prohibited Activities
Generate illegal, hateful, or defamatory content.
Attempt to reverse engineer or derive the source code of the underlying AI models.
Use the platform to infringe upon the intellectual property rights of third parties (e.g., unauthorized use of proprietary automotive designs for commercial gain).
Interfere with Site security or place an undue burden on our networks.
5. Disclaimer
THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLYREEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT GENERATED CONTENT WILL MEET YOUR EXPECTATIONS OR BE LEGALLY PROTECTABLE UNDER APPLICABLE LAW.
You acknowledge that AI-generated outputs are inherently probabilistic and may contain visual inconsistencies, stylistic variations, or other aesthetic imperfections. Such characteristics do not constitute a defect in the Service.
6. Limitations of Liability
IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
7. Indemnification
You agree to defend, indemnify, and hold harmless RallyReel, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
your use of the Service;
your Generated Content;
your violation of these Terms; or
your infringement of any third-party intellectual property or other rights.
The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with such defense.
8. Governing Law
These Terms shall be governed by the federal laws of Canada, without regard to its conflict of law principles.
9. Registration & Account Obligations
To access certain features of the Service, you may be required to create an account and provide accurate, current, and complete information. You agree to maintain the accuracy of your information and the security of your account credentials, and you are responsible for all activity under your account.
You may not create multiple accounts to circumvent usage limits, credit systems, promotional offers, or free-tier restrictions. We may suspend or terminate accounts engaged in abusive or bad-faith activity.
You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the consent of a parent or legal guardian. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
10. Suspension & Termination
We may suspend, restrict, or terminate your access to the Service, remove Generated Content, or disable your account at any time, with or without notice, including for violation of these Terms, unlawful or abusive activity, non-payment, or actions that may expose RallyReel to legal or reputational risk.
Upon termination:
Your right to access the Service immediately ceases;
Unused credits are forfeited and non-refundable, except where required by applicable law;
We may delete or disable access to your account data and Generated Content after a commercially reasonable period.
If termination results from your breach of these Terms, no refunds will be provided. If RallyReel permanently discontinues the Service, we may provide a prorated refund for prepaid subscription periods, at our discretion.
